These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the applicable federal laws of Canada, without regard to their conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Quebec for the resolution of any disputes arising out of or relating to these Terms or the Website.

 

 

11. General Provisions

The provisions which, by their nature, should survive the termination of these Terms will survive, including provisions related to intellectual property, indemnification, and disclaimers, as well as limitations of liability.

These Terms and the Privacy Policy replace any prior agreement between you and Synucure regarding the matters addressed herein and constitute the entire agreement between you and Synucure on this subject.

You may not assign or transfer these Terms or any rights or obligations related thereto.

Synucure’s failure or delay in exercising any right, remedy, power, or privilege under these Terms does not constitute a waiver of such rights, remedies, powers, or privileges. To be valid, a waiver must be in writing and signed by Synucure. A written waiver of a default cannot be construed as a waiver of any other default or similar default that may occur in the future.

In the event that one or more provisions of these Terms are declared invalid or unenforceable by a competent court, such invalidity or unenforceability will not affect the validity or enforceability of the other provisions of these Terms. These Terms will then be interpreted as if the invalid or unenforceable provision had never been part of these Terms.
